Section 1 Scope
(1) These General Terms and Conditions ("Terms") apply to all business relationships between the operator of sun42.eu (the "Provider") and its customers, prospects and business partners.
(2) This offering is directed exclusively at business operators within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. No contracts are intended to be concluded with consumers.
(3) Deviating general terms and conditions of the customer shall only apply if the Provider has expressly agreed to their validity in writing.
Section 2 Activity of the Provider
(1) The Provider operates sun42.eu and supports companies in brokering, initiating and managing business relationships in the field of renewable energy, in particular photovoltaics, solar technology, energy systems and related products and services.
(2) The Provider may act as a commercial agent, broker or sales partner for manufacturers, suppliers and other business partners.
(3) The Provider is generally not itself the manufacturer of the products offered and assumes no obligation to deliver or manufacture the brokered products, unless an express deviating agreement has been made.
(4) Where the Provider expressly acts as the seller itself in individual cases (own transaction), the provisions of Section 6(3) apply in addition.
Section 3 Contractual Relationships with Third Parties
(1) Insofar as products or services are offered by manufacturers, suppliers or other partner companies, contracts for these services are generally concluded directly between the customer and the respective provider of that service.
(2) These contracts are governed exclusively by the contractual terms of the respective manufacturer, supplier or service provider.
(3) The Provider assumes no guarantee or warranty for the performance of third parties, unless mandatorily required by law.
(4) The Provider supports, upon request, the establishment of contact, communication and business initiation between the parties involved.
Section 4 Information on the Website
(1) The information, product descriptions, technical data, images and prices shown on sun42.eu serve general informational purposes and do not constitute a binding offer.
(2) Technical specifications, availability, delivery times, product changes and prices may change due to manufacturers or suppliers.
(3) Only the individual offers and contractual documents of the respective contracting party are binding.
Section 5 Enquiry and Brokerage
(1) Customer enquiries generally do not constitute a binding order.
(2) The Provider is entitled to forward enquiries to suitable manufacturers, suppliers or partner companies.
(3) There is no entitlement to brokerage with a specific contracting party or to the conclusion of a contract, unless expressly agreed otherwise.
Section 6 Remuneration and Payment Processing
(1) Insofar as the Provider renders brokerage services, remuneration, commissions or other fees may be agreed individually.
(2) Unless the Provider expressly becomes a contracting party to a purchase or service transaction itself, invoicing for products or services is carried out by the respective manufacturer, supplier or service provider.
(3) Where the Provider expressly becomes a contracting party to a purchase agreement itself in an individual case (own transaction), the following applies in addition: invoices are due for payment without deduction within 14 days of the invoice date, unless agreed otherwise. Delivered goods remain the property of the Provider until paid in full (retention of title). Statutory warranty in this case is governed by Sections 434 et seq. of the German Civil Code (BGB), unless otherwise specified in these Terms.
Section 7 Liability
(1) The Provider is liable without limitation for damages resulting from intentional or grossly negligent conduct, as well as for damages arising from injury to life, body or health.
(2) In the case of slightly negligent breach of material contractual obligations, the Provider is only liable for typically foreseeable damage.
(3) Liability for services, deliveries, technical properties, availability or contractual performance by third parties is excluded to the extent permitted by law. This does not apply to own transactions pursuant to Section 6(3).
(4) The Provider assumes no liability for damage caused by improper planning, mounting, installation or use of products, insofar as this was not caused by the Provider itself.
Section 8 Technical Planning and Installation
(1) Technical calculations, recommendations or information provided by the Provider do not replace individual specialist planning or review by qualified specialist companies.
(2) Responsibility for the technical execution, mounting, structural analysis, permits and compliance with legal requirements lies with the respective executing company or contracting party.
Section 9 Data Protection
Personal data is processed in accordance with the privacy policy published on sun42.eu, as amended from time to time, and applicable statutory data protection provisions, in particular the General Data Protection Regulation (GDPR).
Section 10 Confidentiality
The parties undertake not to disclose confidential information that becomes known to them in the course of the cooperation to third parties without authorisation.
Section 11 Final Provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) Insofar as legally permissible, the place of jurisdiction is the registered seat of the Provider.
(3) Amendments and supplements to these Terms require text form, unless a stricter form is required by law.
(4) Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
